2) Terms & Conditions

BeConnected Institute: Terms & Conditions of Service

Effective Date: [1 October 2025]

This document outlines the Terms and Conditions under which BeConnected Institute (referred to as "BeConnected," "the Institute," "us," "we," or "our") agrees to perform services for its clients (referred to as "Client," "you," or "your"). These Terms and Conditions, together with any approved proposal or additional documents, constitute the entire Agreement between the parties.

1. Definitions and Interpretation

  • BeConnected Institute: Refers to the legal entity providing the Services (formerly Applied Sustainable Health Ltd and ART Leadership Institute, operating as BeConnected Institute), with its registered office at 110 Gloucester Av, London, NW1 8HX.

  • Services: The consultancy, training, coaching, and other programs and products offered by BeConnected Institute, as outlined in the approved proposal and on our platforms.

  • Client: The individual, business entity, division, or unit purchasing or receiving the Services from BeConnected.

  • Agreement: The comprehensive contract between BeConnected Institute and the Client for the supply of Services, comprising these Terms and Conditions and any approved proposal or Order Form.

  • Fees: The charges payable by the Client for the Services, as detailed in the approved proposal or Order Form.

  • Commencement Date: The date BeConnected Institute begins the provision of Services to the Client.

  • BeConnected Material: All intellectual and industrial property, including trademarks, copyrights, patents, trade secrets, designs, knowledge, know-how, methods, and materials provided or developed by BeConnected, whether independently or in consultation with the Client, that are of a general nature applicable to BeConnected’s other clients.

  • Client Data: All data (in any form) provided to BeConnected or uploaded/hosted on any part of the Services by the Client or any Authorised User.

  • Protected Data: Information and data referred to in the Privacy Policy.

2. Basis of Contract 2.1. This Agreement constitutes the entire agreement between the parties. The Client acknowledges not having relied on any statement, promise, or representation not expressly set out in this Agreement. 2.2. Any descriptive matter or advertising issued by BeConnected, including on its website or brochures, is for the sole purpose of giving an approximate idea of the Services and does not form part of the Contract or have any contractual force. 2.3. BeConnected reserves the right to make changes or alterations to the nature, scope, and content of the Services at any time without prior notice, provided these changes do not fundamentally alter the nature of the Services. 2.4. BeConnected warrants that Services will be prepared and delivered using reasonable care, skill, and diligence typical of professionals offering similar services. However, BeConnected provides no guarantee of specific results or the effectiveness of the Services or the performance of any trainer/facilitator. 2.5. BeConnected will use reasonable endeavours to meet any dates for Services, but such dates are provisional and may be subject to change at BeConnected’s discretion, without liability for such changes. 2.6. BeConnected may make changes to the support of the Services that do not affect their nature or quality (e.g., trainers, session lengths, frequency, location, platform access).

3. Client's Obligations 3.1. The Client will ensure all information provided to BeConnected is complete and accurate. 3.2. The Client will cooperate with BeConnected in all matters relating to the Services. 3.3. The Client will not use the Services, or any content or data derived from them, for any unauthorised or unlawful purpose, including transmission of unlawful, obscene, threatening, or defamatory material, or engaging in spamming. 3.4. The Client agrees to indemnify and hold harmless BeConnected from any claims arising from its use of the Services that damage the Client or other parties. 3.5. The Client grants BeConnected a royalty-free, non-exclusive, perpetual licence to use intellectual property rights of the Client (including video footage or information) on its website and social media to highlight benefits obtained from the Services. 3.6. The Client will comply with all applicable laws relating to the use or receipt of the Services, including privacy and data protection laws.

4. Fees and Payment 4.1. Fees for Services are detailed in the Order or other written/agreed agreements. 4.2. Fees must be paid in full according to the agreed schedule. 4.3. All payments are due in full without any deduction or withholding. 4.4. Fees remain payable regardless of whether the Client ceases to use, complete, access, attend, or utilise the entire Services. 4.5. BeConnected may suspend or withdraw Services if payments are overdue by more than 20 days, without prejudice to other termination rights. 4.6. Except for the cooling-off period (if applicable), the Agreement is non-cancellable, and payment is due regardless of Services usage.

5. Cooling Off and Right to Cancel 5.1. Clients may have a limited 5-day cooling-off period from the Order date to cancel the Agreement by written notice to info@appliedsustainablehealth.org. 5.2. If cancellation occurs within the cooling-off period, Services will be terminated. If not, all remaining payments are due. 5.3. BeConnected reserves the right to consider refunds outside the cooling-off period. The Client agrees not to request chargebacks from their bank or credit card company. Any disputes must be addressed directly with BeConnected.

6. Limitation of Liability 6.1. Neither party shall be liable for delay or failure to perform obligations due to events beyond reasonable control (Force Majeure), including natural disasters, epidemics, war, or government actions. 6.2. BeConnected will not be liable for any indirect, consequential, or special damages, or loss of profits/opportunities arising from the Agreement. 6.3. The maximum aggregate liability of BeConnected to the Client (except for indemnification, confidentiality, or intellectual property breaches, or payment for services) shall not exceed $15,000 USD or the equivalent of the Client's payments to BeConnected for Services in the preceding 12 months, whichever is larger.

7. Non-Compete The Client undertakes not to directly or indirectly compete with BeConnected's business or Services, or use BeConnected Material to offer similar services to third parties.

8. Intellectual Property Rights 8.1. All intellectual property rights in and relating to the Services and BeConnected Material are owned by BeConnected Institute. 8.2. BeConnected grants the Client a revocable, non-exclusive, royalty-free limited licence to use BeConnected Material only for the purpose of benefiting from the Services. No other rights or licences are granted, and any new rights arising from the Client's use shall accrue to BeConnected. 8.3. The Client may copy and distribute handouts and written materials bearing BeConnected's copyright notices without modification. All other unauthorised copying, sharing, broadcasting, or re-recording is prohibited.

9. Data and Information 9.1. Protected Data remains the property of the Client or its licensor. 9.2. BeConnected has no control over or active access to the content of Protected Data hosted as part of Services. The Client is exclusively responsible for the accuracy, quality, integrity, and legality of all Client Data and its compliance with applicable laws. 9.3. BeConnected may delete, remove, or suspend access to data suspected of breach, or disclose it to law enforcement, with notification where practicable and lawful. 9.4. BeConnected may suspend Services at any time for any reason without notice (e.g., technical issues, maintenance). If suspension exceeds 30 days, the Client will be notified.

10. Confidentiality and Security of Data 10.1. BeConnected will maintain the confidentiality of Protected Data and only disclose it as necessary for Service performance, express rights under the Agreement, or as required by law. 10.2. BeConnected will disclose Protected Data only to its officers, employees, agents, contractors, and sub-contractors as necessary. 10.3. Services are limited to registered participants. The Client agrees not to publish, broadcast, or disclose the identity, likeness, or comments of anyone participating in the Services without consent, to promote and respect confidentiality. 10.4. Nothing in this Agreement limits the Client from sharing their personal experience of the Services. 10.5. Nothing limits BeConnected from sharing results or testimonials (written or video) to promote its business.

11. Warranties BeConnected gives no warranties of any kind, express or implied, for the Services it provides, and disclaims any warranty of merchantability or fitness for a particular purpose. Use of any information obtained via BeConnected is at the Client's own risk.

12. Assignment and Sub-Contracting The Client will not assign, transfer, charge, sub-contract, or share any rights or obligations under the Agreement, or any content or data from the Services, with any third party without BeConnected's prior written consent.

13. Variation Except as set out in these Conditions, any variation to the Agreement will only be binding if agreed in writing between BeConnected and the Client.

14. Applicable Law This Agreement shall be governed by the laws of England and Wales, and any disputes will be exclusively considered by the English and Welsh Courts. Each provision is severable, and the invalidity of one does not affect others.

15. Complaints BeConnected is committed to providing high quality Services and has a written complaints procedure available upon request to ensure fair and prompt handling of all complaints.

16. General 16.1. BeConnected reserves the right to alter or cancel published dates, change venues, or make changes to programs, services, products, or speakers if necessary. 16.2. Any behaviour displayed by the Client deemed disruptive, disrespectful, threatening, abusive, or untenable (at BeConnected's sole discretion), towards BeConnected, its clients, or team members, may result in denial of access to Services. All remaining fees would remain payable and non-refundable. 16.3. The Client agrees that BeConnected has made no promise, guarantee, or representation regarding future incomes or gains resulting from the Services, and that the Client was not induced to enter the Agreement by any such promise or representation. 16.4. This Agreement supersedes any previous arrangements concerning its subject matter. 16.5. For corporate engagements, the Client is responsible for coordinating and directly covering logistical expenses such like hotel accommodations, conference fees, and meals related to workshops or sessions. 16.6. This Agreement is written in English. In case of inconsistency with translations, the English version prevails. 16.7. Either party may terminate the Agreement with 30 days’ written notice. If the Client terminates for reasons other than BeConnected's failure to perform, BeConnected shall be compensated for incurred expenses and amounts due during the notice period. 16.8. BeConnected is an independent contractor and not an employee of the Client. This Agreement does not create a partnership or joint venture.

BeConnected Institute (referred to as "BeConnected," "the Company," "us," "we," or "our") is committed to protecting your privacy and complying with applicable data protection and privacy laws, including the General Data Protection Regulation (GDPR) for operations within the European Economic Area (EEA) and the UK. This Privacy Policy outlines how we collect, use, and protect your information when you visit our websites and use our products and services.

1. Personal Information Collection We collect and use your personal information with your knowledge and consent, typically when you:

  • Order or use our products and services.

  • Make customer enquiries.

  • Register for an event or information/other services.

  • Request product information.

  • Submit a job application.

  • Respond to our communications (e.g., questionnaires, surveys).

This helps us manage and develop our sites, provide a customised service, and tailor products to your needs. We also use Google Analytics Advertiser Features (including Remarketing, Display Network Impression Reporting, DoubleClick Platform integrations, and Demographics and Interest Reporting) to optimize our business, which may use first-party and third-party cookies to gather data about your activities on our site. You can opt out of Google's use of cookies via their ad settings.

3. How We Use Your Information We may use your information for purposes including:

  • Processing orders and managing your account.

  • Delivering requested services, products, or information.

  • Responding to complaints or enquiries.

  • Administering debt recoveries.

  • Verifying your identity when required.

  • Market and product analysis based on your use of services.

  • Contacting you with information about new developments, products, services, and special offers by post, telephone, SMS, WhatsApp, Email, and internet.

  • Customising features or advertising that appear on our sites.

4. When We Disclose Your Information to Others We may disclose your information to:

  • Companies within the BeConnected Institute Group (any company or entity in which BeConnected owns directly or indirectly more than 50% of issued share capital).

  • A reorganised entity or third party if we undergo re-organisation or are sold.

  • Third parties, such as service providers, contractors, and third-party publishers/advertisers, for purposes like providing you with information about products and services.

  • Credit card companies to validate details and obtain payment.

  • Law enforcement authorities or to meet legal/regulatory requirements.

BeConnected Institute does not sell or pass your personal information to third parties (other than as set out above) unless you have given us permission or it is strictly necessary to deliver the products and services ordered or used by you.

5. Social Media, Blogs, and Reviews Any social media posts or comments you send to us (e.g., on Facebook) may be shared under the terms of the relevant social media platform and could be made public. We are not responsible for these platforms and recommend reviewing their terms and privacy policies. Any blog, review, or other posts you make about us on our services or social media will be shared with other members of that service and the public. Comments must not be offensive, insulting, or defamatory. As advertisers on Facebook, we may collect content or information from a Facebook user, which may be used as specified in this Privacy Policy. We abide by Facebook’s Data Use Restrictions.

6. Data Retention We retain your information only for as long as needed for the purposes it was collected, to meet legal data protection obligations. Generally, we keep information as long as you use our services and for a reasonable period thereafter if you stop, to encourage your return. After that, it will be deleted, except where lawfully retained for audit or legal reasons. Prospect database data is kept for no longer than 3 years from receipt, subject to your right to unsubscribe or be forgotten.

7. Your Rights (GDPR for EEA/UK Residents) If you are a resident of the European Economic Area (EEA) or accessing our site from within the EEA, you may have the right to request:

  • Access to your personal data.

  • Correction of your personal data.

  • Deletion of your personal data ("right to be forgotten").

  • Portability of your personal data.

  • Restriction or objection to processing of your personal data. 8. Information Security BeConnected Institute continuously reviews and enhances its technical, physical, and managerial procedures to protect your personal data from unauthorised access, accidental loss, and destruction. We use industry-standard TLS certificates for data encryption in transit (HTTPS for website access). However, communications over the Internet (e.g., emails) are not entirely secure unless encrypted. BeConnected cannot accept responsibility for unauthorised access or loss of personal information beyond our control.

9. Children's Privacy We do not knowingly collect personally identifiable information from children under the age of thirteen as part of our site. We do not knowingly distribute such information to third parties, allow public posting, or condition participation on providing personal information.

10. Monitoring and Recording of Communications Monitoring or recording of your calls, emails, text messages, and other communications may occur in accordance with UK law, primarily for business purposes (e.g., quality control, training, crime prevention, ensuring system operation).

11. Changes to This Privacy Policy BeConnected Institute reserves the right to amend or modify this Privacy Policy Statement at any time in response to changes in applicable data protection and privacy legislation. We will post changes on our website and update the Effective Date. If we decide to use personally identifiable information in a manner different from that stated at the time it was collected, we will notify you, and you will have a choice as to whether or not we use your information in this different manner.
